VMS Industries Limited was incorporated on December 2, 1991, with the objective of providing various consulting and information technology services. From 1992 to 1994, the company was engaged in the computerization of land revenue records for the Bhavnagar Municipal Corporation. In 1995-96, the company undertook the assignment of computerizing Ration Cards and Ration Shops for the same corporation.
In 1994, the company acquired a running oxygen plant named "Varun Gases" located in Sihor GIDC, Bhavnagar, with an installed capacity of 65 cubic meters per hour. The plant operated at full capacity, supplying gas to various customers in and around Bhavnagar. However, the plant was closed in 1997 due to its unviability caused by a slowdown in the Ship Recycling Industry and advancements in technology

The Ship Breaking Industry saw a revival in 2003-04, prompting the company to consider diversifying its activities. In 2004, the Gujarat Maritime Board auctioned vacant plots, and the company was allotted Plot No. 160 at the Alang-Sosiya Ship Breaking Yard, spanning 1350 sq. meters on a lease basis. However, the company could not begin ship breaking activities due to a change in the policy for ship recycling plants, which required a minimum plot size of 2700 sq. meters.
